Laurie A. Sanders
Laurie Sanders is an attorney in the Business Law group. Laurie has a comprehensive practice advising clients from initial entity formation to possible exit strategies. Laurie works with clients seeking to form new corporations, limited liability companies or partnerships, including providing guidance on choice of entity, domicile, capitalization and financing. Laurie actively counsels existing clients in all aspects of their business law needs, particularly in the areas of contracts, financing, securities law, licensing, joint ventures and intellectual property.
A significant portion of Laurie's practice involves mergers, acquisitions and reorganizations, with transaction sizes ranging from $50,000 to $156 million. She represents both sellers and buyers in domestic and cross-border transactions.
Laurie's clients include entrepreneurs and start-up companies as well as small and medium-sized private companies. Many of Laurie's clients are founders or existing management, and experienced private equity investors. Business areas include publishing, technology, professional services, architecture, retail, telecommunications and insurance.
Prior to joining MBV, Laurie practiced with several large, international law firms in their securities, transactional and corporate law groups. She focused on immediately pre-IPO and public companies, assisting clients in equity and debt financings and strategic acquisitions, in addition to advising on corporate governance and securities compliance.
Laurie received her B.A. degree from the University of California at Berkeley, and her J.D. degree from Duke University School of Law where she was Executive Editor of the Duke Journal of Comparative and International Law. Laurie is a member of the State Bar of California, the District of Columbia Bar, and the Bar of the Commonwealth of Pennsylvania (inactive). Laurie speaks regularly at CEB and other presentations on corporate transactions and other facets of the practice of corporate law.
